Commercial Manager (2018-3334)

Job Description

The Commercial Manager is responsible for commercial and contractual aspects of various Business Units associated with the Redpath Americas division to support operations with the objective of minimizing risks, maximizing opportunities and avoiding disputes. This position will provide professional focus, identity and a legal review for the commercial function for various Redpath projects, potential work and regions. The incumbent is required to work as part of a team, interacting with co-workers and superiors in a confidential and professional manner. The job holder will be expected to positively contribute to the performance, growth and profitability of these business units.

 

Duties and Responsibilities

 

Functional Management

  • Deliver effective advice and legal counsel, where required, on commercial activities across Business Units in the Americas;
  • Identify potential and actual disputes in line with contractual Dispute Resolution Protocols;
  • Provide commercial appraisals of projects for internal and external audit purposes;
  • Raise commercial awareness in the business for leadership, colleagues, and project controls for office and site personnel;
  • Perform day-to-day duties in accordance with the Redpath Americas Compliance Program
  • Participate in the development of standardized contract or agreement templates and/or standards;
  • Liaise with various internal Departments and ensure integration with contract activities; and
  • Adhere to appropriate document control standards and continued implementation of a document management system and maintenance


General

  • Assist Operations and Project Controls staff with the maintenance and delivery of contract administration;
  • Identification, calculation and communication of appropriate commercial risk and opportunity allowances;
  • Where required, assist with demonstrations of contract control systems to prospective and existing clients;
  • Participate in contract (commercial) compliance and undertake immediate corrective action to prevent the potential for performance penalties being imposed upon contracts, including provide legal guidance on risk of such;
  • Assist with analysis of commercial business statistics in order to make good decisions in the face of uncertainty that will help various internal departments in services improvement, legal review and marketing research;
  • Assist with reviewing monthly Work in Hand and Project reporting; and
  • Participate in key project start-up and closure processes e.g. Notice of Project and Notice of Project Close-out processes, including reviewing the necessary commercial documentation (Letter of Intent, Practical and Final Completion Certificates, etc.).

 

Project Bidding

  • Compile effective contractual reviews, including writing qualifications and clarifications that balance risk and opportunity in tender proposals or other Client proposals;
  • Participate in the development of tender proposal Win Themes;
  • Identify and quantify commercial risks and opportunities in tender proposals and other Client proposals;
  • Support negotiations with prospective customers, joint venture partners, limited partners, contractors and subcontractors; and
  • Ensure a commercial focus is maintained in established and/or developing existing or new markets.

 

Contract Delivery

To take an active responsibility in implementing and reviewing effective commercial activity within projects, ensuring that:

  • Compile letters of intent, memoranda of understanding, contract, subcontract, joint venture, limited partnership and similar agreements, as required;
  • Compile abbreviated contract summaries (crib notes) for field personnel to help with contract interpretation and administration;
  • Assist with maintaining contract change control processes to ensure that appropriate contract price adjustments are identified and timely agreed with the Clients;
  • Compile effective invoicing procedures at contract award and actively work with Project Accounting at project start-up and/or to resolve contractual invoice issues;
  • Participate in regular reviews of contract administration, with specific focus on contractual obligations, notices, correspondence and change management;
  • Assist Project Controls team members to ensure project controls reporting captures contract requirements;
  • Maintain active list of executed contract agreements, insurance certificates, bank and parental guarantees;
  • Liaise with Finance Department to resolve insurance qualifications, clarifications and/or issues;
  • Adhere to the framework of practice and process in commercial activity to follow that is in line with corporate governance and the Code of Conduct; and
  • In conjunction with key internal departments, ensure that business critical and/or complex contractual and insurance issues, including disputes and claims are resolved in order to protect and further the Company’s interests and relationships.

 

Qualifications:

Post-secondary education in Business, Legal or mining (with progressive experience), Professional Quantity Surveyor, Lawyer or equivalent with minimum 10 years experience in construction contract administration.

 

Skills and Knowledge Required:

  • MS Office Suite (Word, Excel, Project, PowerPoint and Internet Explorer), J.D. Edwards, Hard Dollar (InEight Solutions), Primavera and SharePoint
  • Ability to liaise with internal/external clients at all levels
  • Experience with legal terminology
  • Excellent verbal and written communication skills
  • Knowledge of estimating and preparation of tenders
  • Knowledge of contract legislation in Canada and globally
  • Project management experience
  • Excellent systems and process capabilities
  • Broad technical knowledge of construction and mining in order to write scope of work for contracts
  • Ability to multi-task effectively
  • Remain organized in a fast paced environment
  • Capability to coordinate multiple issues with competing priorities
  • Ability to work both independently and collaboratively

 

Additional Information:

  • Bilingualism is an asset
  • Travel to various mine sites and offices may be required (domestic and international)
